Terms of Service

Last updated: 2 April 2026

1. About These Terms

These Terms of Service (“Terms”) form a legally binding agreement between Ozzint Ltd (“Ozzint”, “we”, “us”, “our”) and the organisation or individual (“Customer”, “you”, “your”) accessing or using the Ozzint Classify platform and any associated services (together, the “Service”). By creating an account, submitting a document, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms on behalf of your organisation. If you do not agree, do not use the Service.

These Terms apply to business customers only. Ozzint Classify is designed for customs brokers, freight forwarders, importers, and similar trade professionals operating in the United Kingdom and internationally. It is not intended for consumer use.

2. Service Description

Ozzint Classify is a pre-decision customs compliance platform that provides AI-assisted invoice extraction, HS tariff code classification, sanctions screening, duty estimation, and broker export file generation. The Service integrates with HMRC’s Trade Tariff API to cross-validate classification outputs and with UK and EU sanctions list data to screen parties and goods.

The Service is provided as software-as-a-service (“SaaS”) accessible via a web browser and, where applicable, via the ClearBot email automation product. All outputs are pre-decision guidance intended to assist qualified professionals in preparing customs declarations.

3. Account Registration and Access

You must register an account and provide accurate, complete information about your organisation. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@ozzint.com if you suspect unauthorised access. We reserve the right to refuse registration or suspend access at our discretion.

Access is granted per the plan you have subscribed to. Sharing credentials across organisations or reselling access without prior written consent is prohibited.

4. Acceptable Use

You agree not to:

  • Use the Service to process goods, parties, or transactions that you know to be in violation of applicable export controls, sanctions regulations, or customs law.
  • Attempt to reverse-engineer, decompile, or extract model weights, classification logic, or proprietary data from the Service.
  • Upload documents that infringe third-party intellectual property rights or that contain unlawful content.
  • Interfere with or disrupt the integrity or performance of the Service or the data of other customers.
  • Use automated scripts or bots to interact with the Service except via documented APIs and within agreed rate limits.
  • Represent Service outputs as a legally binding customs determination, Binding Tariff Information ruling, or official HMRC guidance.

5. Compliance Responsibility

Ozzint Classify provides AI-assisted customs classification and compliance guidance. This is not legal, tax, or customs advice. The importer of record remains responsible for declaration accuracy and regulatory compliance.

For legally binding classification, apply for a Binding Tariff Information (BTI) ruling with the competent customs authority.

The importer of record remains solely responsible for the accuracy of any customs declaration submitted to HMRC or any other customs authority. Ozzint accepts no liability for duties, penalties, delays, or regulatory action arising from reliance on Service outputs without independent professional review.

You are responsible for ensuring that the information you submit is accurate, complete, and not subject to any prohibition on disclosure to third-party AI systems. Where your goods or transactions may be subject to export licence requirements, dual-use controls, or strategic goods licensing, you must obtain independent legal advice before relying on Service outputs.

6. Beta Features

Certain features may be designated “beta” or “preview” in the Service interface. EU mode and CBAM (Carbon Border Adjustment Mechanism) checks are currently beta. Beta features are provided without warranty of any kind, may be withdrawn or changed without notice, and must not be relied upon for live customs filings without independent manual review. We will update these Terms or the Service interface when beta features reach general availability.

7. Intellectual Property

All intellectual property rights in the Service, including its software, models, classification logic, report templates, and documentation, are owned by or licensed to Ozzint Ltd. These Terms do not transfer any intellectual property rights to you.

You retain ownership of documents, data, and other content you upload to the Service (“Customer Content”). You grant Ozzint a limited, non-exclusive licence to process Customer Content solely for the purpose of providing the Service to you. We do not use Customer Content to train AI models without your explicit written consent.

8. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party that is designated as confidential or that a reasonable person would consider confidential in the circumstances (“Confidential Information”). Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, or that the receiving party independently developed without reference to the disclosing party’s Confidential Information.

Ozzint will maintain appropriate technical and organisational measures to protect Customer Content. We will not disclose Customer Content to third parties except as necessary to provide the Service (including sub-processors named in our Privacy Policy and DPA), as required by applicable law, or as expressly permitted by you in writing.

9. Data Processing

By using the Service, you acknowledge that Ozzint acts as a data processor in respect of any personal data contained within your Customer Content, and that you act as the data controller. Processing is governed by our Data Processing Agreement, which forms part of these Terms and is available at ozzint.com/dpa. Our Privacy Policy, available at ozzint.com/privacy, explains how we process personal data relating to your account and users.

10. Limitation of Liability

Nothing in these Terms limits or excludes either party’s liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be lawfully excluded or limited under the laws of England and Wales.

Subject to the above, Ozzint’s total aggregate liability to you in contract, tort (including negligence), breach of statutory duty, or otherwise, arising out of or in connection with these Terms or the Service, shall not exceed the total fees paid by you to Ozzint in the twelve (12) months immediately preceding the event giving rise to the claim.

Subject to the above, neither party shall be liable to the other for any loss of profits, loss of revenue, loss of anticipated savings, loss of data, indirect loss, consequential loss, or special loss, whether or not such loss was foreseeable or either party had been advised of its possibility.

In particular, Ozzint shall not be liable for: (a) any duties, taxes, penalties, fines, or regulatory sanctions imposed by HMRC or any customs authority arising from use of or reliance on Service outputs; (b) any losses arising from your failure to obtain required export licences or other regulatory approvals; or (c) any losses arising from incorrect or incomplete Customer Content.

11. Indemnity

You agree to indemnify, defend, and hold harmless Ozzint and its officers, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your use of Service outputs in live customs declarations without independent professional review; or (c) any claim by a third party arising from Customer Content you upload to the Service.

12. Fees and Billing

Paid plans are billed in advance on the billing cycle shown at sign-up (monthly or annual). All fees are stated exclusive of VAT. VAT at the applicable UK rate will be added where required. Invoices are issued electronically and are payable on receipt.

Refund requests for annual plans may be considered within 14 days of initial activation if the Service has not been materially used. Monthly plans are non-refundable once the billing period has begun. We reserve the right to suspend access if fees remain outstanding for more than 14 days after the due date.

Enterprise and custom pricing is governed by a separately executed Order Form or Master Services Agreement, which supersedes these self-serve plan terms where there is a conflict.

13. Suspension and Termination

You may close your account at any time by contacting support@ozzint.com. Closure takes effect at the end of the current billing period for paid plans.

We may suspend or terminate your access immediately, with or without notice, if: (a) you breach these Terms and fail to remedy the breach within 7 days of written notice; (b) you become insolvent or subject to administration, liquidation, or winding-up proceedings; or (c) we are required to do so by law or regulatory authority. We may also suspend access to investigate suspected misuse.

On termination, your right to use the Service ceases immediately. Audit logs and customs records generated during your use of the Service will be retained for the period required by applicable law (see our Privacy Policy). We will make available an export of your compliance records for 30 days following termination on request.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service, applicable law, or our business. We will notify you of material changes by email or via an in-app notice at least 30 days before the changes take effect, or with shorter notice where required by law. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account before the effective date.

15. General

Entire agreement. These Terms, together with the Privacy Policy, DPA, Cookie Policy, and any applicable Order Form, constitute the entire agreement between you and Ozzint in relation to the Service and supersede all prior representations, negotiations, and agreements.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Failure to exercise or delay in exercising a right under these Terms does not constitute a waiver of that right.

Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations on written notice to you, including in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party shall be liable for delay or failure in performance caused by circumstances beyond their reasonable control, including acts of God, government action, industrial disputes, or infrastructure outages, provided the affected party notifies the other promptly.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms, including any question regarding existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales, to which both parties irrevocably submit.
